Terms of Service

Effective: 2026-10-15

Welcome to Agents Workshop. These terms explain your rights and ours when you use the Agents Workshop open-source software and cloud services. We've tried to keep them plain; if anything is unclear, just ask.

1. Who we are and what these terms cover

  1. "We" means 深圳市卢耶科技有限公司, the operator of Agents Workshop.
  2. Agents Workshop has two parts:
  • The open-source software: the Agents Workshop you download and run on your own computer (desktop app, browser extension, source code), released under the Apache License 2.0.
  • The cloud services: the parts we run in the cloud — your Agents Workshop account, the credit wallet and top-ups, models and data APIs called with credits, add-on services (such as cloud sync for your creator list or cloud support standby), and long-running tasks you choose to run in the cloud.
  1. Using, copying, modifying and distributing the open-source software is governed by the Apache License 2.0; these terms add no restrictions to it. These terms mainly govern the cloud services and this website, https://agentsws.com.
  2. By creating an account, topping up or using the cloud services, you agree to these terms, the Privacy Policy and the Refund Policy. If you use them on behalf of a company, you confirm you are authorised to agree for it.

2. The open-source software is provided as is

  1. The open-source software is provided "as is". Under the Apache License 2.0 and to the extent permitted by law, we make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
  2. Agents Workshop is currently in beta. Features will change and there may be bugs. Try it with test data or a small slice of your business before trusting it with anything important.
  3. By default the open-source software keeps your business data on your own computer, where we can't reach it. Keeping that computer secure and backed up is up to you (the software backs up before every upgrade, but that doesn't replace your own backups).

3. Your account

  1. You sign up for the cloud services with your name, email address and a password, agree to these Terms, then enter the code we email you. After that you sign in with an email code or your password. Keep your mailbox and password secure.
  2. Each account belongs to one organisation (company). The organisation's owner can invite members and set monthly credit limits for members and roles, and is responsible for how members use the account.
  3. The information you give us must be true and accurate. Accounts may not be transferred, lent or sold.
  4. If you notice your account being misused, tell us right away at contact@agentsws.com.

4. Credits and payment

  1. 1 credit = CNY 1 as the unit of account. Credits can only be used within the Agents Workshop cloud services. They can't be withdrawn as cash, transferred, or earn interest.
  2. Top-ups are sold in the packs we publish and charged in US dollars (converted by the pack table, e.g. USD 1 = 7 credits, as shown on the top-up page at the time). Payment happens on the payment provider's checkout page; we never see your card number.
  3. Two kinds of credits:
  • Purchased credits never expire;
  • Free credits (e.g. sign-up or promotional credits) expire as stated when granted (sign-up credits currently last 90 days).
  • Credits closest to expiry are used first.
  1. Prices for each capability follow the public price list, and you see the price before anything runs; calls that produce no result are not charged. We may change prices; changes apply only to usage after the change, never to charges already made.
  2. Your own keys cost nothing: requests the open-source software sends with your own model or platform keys go direct from your computer, never through us, and use no credits.
  3. Add-on services are charged monthly in credits. You can cancel anytime; cancellation takes effect at the end of the current period, which is not refunded. If your balance runs short the service pauses, and your data is not deleted; it resumes when you top up.
  4. Running out of credits only declines that one request; your account is not frozen.
  5. Credits are non-refundable once purchased and can't be exchanged for cash, with only three exceptions: duplicate charges, overcharges caused by a system error, and refunds the law where you live requires; contact us within 60 days of noticing it. The exceptions and chargebacks are covered by the Refund Policy.
  6. Credits are delivered the moment you pay. If the law where you live gives you a right of withdrawal (such as the EU 14-day right), the checkout page asks you before payment to expressly agree to immediate delivery and to confirm you understand that you thereby lose that right.

5. How you use it

  1. AI proposes; you decide. Any action by Agents Workshop that sends something out, spends money or changes your store or accounts first becomes a card, and only runs once you approve it. You are responsible for what you approve — please read it before you do.
  2. AI output can be inaccurate, incomplete or inappropriate. It is not legal, financial, tax or other professional advice.
  3. The third-party platforms you connect (such as Shopify, Amazon, Meta, TikTok, Google and your email provider) have their own rules. You must follow their terms, API policies and sending limits; suspensions or restrictions caused by breaking those rules are your responsibility.
  4. You must not use Agents Workshop to:
  • send spam, harassment, or marketing to people who haven't agreed to receive it;
  • commit fraud, infringe others' intellectual property or privacy, or break export-control or sanctions rules;
  • attack, probe or bypass our security measures, or abuse the cloud APIs at scale or through automation;
  • resell the cloud services or credits without our prior written consent;
  • do anything that breaks the laws where you or we are located.
  1. You must have a lawful basis for any data you put into Agents Workshop (including customer data) and inform your customers as the law requires.

6. Your content and data

  1. Your business data and the content you upload or generate belong to you (or their original owners). Using Agents Workshop doesn't give us ownership of them.
  2. To provide the cloud services, you let us store, process and transmit that content only as far as needed to provide them (for example, forwarding a model request you made with credits to the model provider). We don't train models on your business content, and we don't sell it.
  3. How data is collected, where it lives, who processes it and how you export or delete it is explained in the Privacy Policy.

7. Open-source licence and trademarks

  1. The Agents Workshop code is open source under the Apache License 2.0: you may use, modify and distribute it, and you may fork it.
  2. The names "Agents 工坊", "Agents Workshop" and "agentsws", and the six-square brand mark, are our trademarks and are not granted by the open-source licence. You may say your project is "based on Agents Workshop", but a fork may not use these names or the mark as its own product name, or suggest it is an official release. See the Trademark Policy.
  3. Third-party components included in the open-source software are governed by their own licences.

8. Changes, suspension and termination

  1. We keep improving the cloud services and may add, change or retire features. We will announce changes that noticeably affect you in advance, on this site or in the app.
  2. We may temporarily suspend parts of the service for maintenance, upgrades or security incidents, with advance notice where possible.
  3. If you seriously or repeatedly break these terms, we may restrict or end your use of the cloud services, and will tell you why first where we can.
  4. You may stop using the service and close your account at any time. Export anything you need first. Any credit balance left when you close your account isn't refunded or exchanged for cash (except for the exceptions in the Refund Policy).
  5. The open-source software is not affected by closing your account: the software and data on your computer remain yours.

9. Limitation of liability

  1. To the fullest extent permitted by law, we are not liable for indirect losses, lost profits, business interruption or data loss arising from using, or being unable to use, Agents Workshop.
  2. To the fullest extent permitted by law, our total liability to you for the cloud services is limited to the amount you actually paid us in the twelve months before the event giving rise to the liability.
  3. These limits don't apply to liability that cannot be excluded or limited by law.

10. Changes to these terms

We may update these terms. The updated terms will be posted on this site with an effective date; for changes that significantly affect your rights or obligations, we will notify you in advance. If you keep using the cloud services after a change takes effect, you accept the updated terms; if you don't agree, you can stop using them and close your account.

11. Governing law and disputes

  1. These terms are governed by the laws of the People's Republic of China (for the purpose of these terms, excluding the laws of the Hong Kong and Macao Special Administrative Regions and Taiwan).
  2. Any dispute will first be negotiated in good faith; if that fails, either party may bring the case before the competent people's court where 深圳市卢耶科技有限公司 is domiciled.
